APPLICABLE LAW, JURISDICTION, AND VENUE

By using this website, you agree that the Federal Arbitration Act, applicable federal law, and the laws of the state of Florida, without regard to principles of conflict of laws, will govern these Conditions of Use and any dispute of any sort that may arise between you and Ford Parts Center.

Subject to the arbitration agreement below (see DISPUTES), you agree that the sole jurisdiction and venue for any litigation arising from your use of this website or the information, materials, products, and services made available to you through Ford Parts Center shall be an appropriate federal or state court located in Polk County, Florida.

All information posted on this website is intended only for the market within the United States of America (“USA”) and will be interpreted under and governed solely by the laws and regulations of the USA. If you access this website from a location outside the USA, you are responsible for compliance with all applicable laws and regulations.

BACKORDERS

In the event that a part is on backorder, Ford Parts Center will inform you and provide you with the option to cancel the order and receive a refund.

CATALOG

Ford Parts Center (oemford.parts) is an online OEM (original equipment manufacturer) automobile parts catalog operated by Bartow Ford Company an authorized Ford, Lincoln and Mercury dealer in Bartow, Florida.

These parts and accessories are exactly the same parts found in a new Ford, Lincoln or Mercury vehicle. All parts are sourced directly from the manufacturer and include the manufacturer’s warranty from date of purchase.

This website is to be used as a reference guide and does not reflect the availability or stocking status of the item. The manufacturer may discontinue or supersede a part without notice, thus effecting price and availability. All prices and availability are subject to change without notice.

Ford Parts Center reserves the right to refuse to process an order for any reason. Your order confirmation is an offer to buy, not a completed sales contract. Order acceptance and the completion of the contract will take place once an order has been processed and shipped. DISPUTES

YOU AND FORD PARTS CENTER AGREE THAT IN THE EVENT OF ANY CLAIM, DISPUTE, CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE) ARISING OUT OF, RELATING TO, OR CONNECTED IN ANY WAY TO THIS WEBSITE, OR THE BREACH, ENFORCEMENT, INTERPRETATION, OR VALIDITY OF THESE CONDITIONS OF USE, SUCH CLAIM, DISPUTE, OR CONTROVERSY WILL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION PURSUANT TO THE FEDERAL ARBITRATION ACT (“FAA”).

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL.

YOU AGREE THAT ALL MATTERS RELATING TO YOUR ACCESS TO OR USE OF THE WEBSITE AND ALL MATTERS ARISING OUT OF OR RELATED TO THESE CONDITIONS OF USE, INCLUDING ALL DISPUTES, WILL BE GOVERNED BY THE “FAA”, APPLICABLE FEDERAL ARBITRATION LAW, AND THE LAWS OF THE STATE OF FLORIDA, WITHOUT REGARD TO CHOICE OF LAW PRINCIPLES. ANY ARBITRATION HEARING TO RESOLVE SUCH DISPUTES WILL BE CONDUCTED IN POLK COUNTY, FLORIDA.

ARBITRATION IS MORE INFORMAL THAN A LAWSUIT IN COURT AND USES A NEUTRAL ARBITRATOR INSTEAD OF A JUDGE OR JURY. ARBITRATION IS SUBJECT TO VERY LIMITED REVIEW BY COURTS, BUT ARBITRATORS CAN AWARD THE SAME DAMAGES AND RELIEF THAT A COURT CAN AWARD.

EITHER OF THE PARTIES MAY DEMAND ARBITRATION BY SERVING THE OTHER WITH A WRITTEN DEMAND FOR ARBITRATION, WHICH SHALL INCLUDE A STATEMENT SETTING FORTH THE NATURE OF THE DISPUTE, THE NAMES AND ADDRESSES OF ALL OTHER PARTIES, THE AMOUNT IN CONTROVERSY, THE REMEDY SOUGHT AND THE GROUNDS THEREFORE, AND THE HEARING LOCALE REQUESTED.

THE ARBITRATOR SHALL BE AN ATTORNEY OR RETIRED JUDGE. THE ARBITRATOR SHALL PREPARE A WRITTEN DECISION STATING REASONED FINDINGS OF FACT AND CONCLUSIONS OF LAW. EITHER PARTY MAY SEEK ENTRY OF A JUDGMENT ON THE AWARD IN ANY COURT OF COMPETENT JURISDICTION.

THE PARTIES AGREE TO PARTICIPATE IN DISCOVERY, AND FOR THE ARBITRATOR TO GRANT SUMMARY JUDGMENT, IF APPROPRIATE. THE ARBITRATOR’S DECISION SHALL BE FINAL AND BINDING, EXCEPT FOR ANY RIGHT OF APPEAL PROVIDED BY THE FAA. TO THE EXTENT THAT THE FLORIDA COURT-ANNEXED ALTERNATIVE DISPUTE RESOLUTION (“ADR”) RULES APPLY, THE PARTIES AND THE ARBITRATOR SHALL BE GUIDED BY THE PROCESSES OF SAID ADR RULES.

THE ARBITRATOR DECIDING THE CLAIM SHALL HAVE THE AUTHORITY TO AWARD FEES, COSTS, INJUNCTIVE OR EQUITABLE RELIEF. UNLESS ORDERED OTHERWISE BY THE ARBITRATOR IN ACCORDANCE WITH APPLICABLE LAW, THE PARTIES SHALL BE RESPONSIBLE FOR PAYING THEIR OWN ATTORNEY’S FEES.

LICENSE AND ACCESS

Ford Parts Center grants you a limited license to access and make personal use of this website and content for noncommercial purposes only. The materials displayed on this website, including but not limited to all text, audio, video, images, photographs, illustrations, artwork, animation files and other graphics, names, logos, trademarks, and service marks, are property of Ford Parts Center, Ford®, Motorcraft®, and/or their parent or affiliated companies and are protected by copyright, trademark, and other intellectual property laws. This website may be accessed, displayed, and/or printed solely for your personal, non-commercial home use. Any other use of the material on this website without the prior written consent of Ford Parts Center or Ford®, and Motorcraft® is strictly prohibited. Modification of your automobile involves some inherent risk and may void your manufacturer’s warranty. Ford Parts Center cannot be held responsible for the modifications you decide to undertake, nor for the results of doing so. Ford Parts Center shall not be liable for any costs associated with the installation of any parts purchased from the catalog. In no event shall the total liability of Ford Parts Center (including its affiliates, directors, officers, employees, agents, or other representatives) exceed the amount paid by you to access the website or purchase the products listed therein, regardless of any damages, losses, and/or causes of action that might accrue, whether arising out of contract, tort, or otherwise.

PRICES AND PRODUCT DESCRIPTIONS

Our website oemford.parts attempts to be as accurate as possible. However, Ford Parts Center does not warrant that product descriptions or prices are completely accurate, complete, reliable, current, or error-free. If a product is not as described, your sole remedy is to return it in unused condition in accordance with our RETURNS AND REFUNDS policy.

If the correct price of a product sold by Ford Parts Center is higher than our stated price, we will, at our discretion, contact you and seek instruction whether the order should proceed, or cancel your order, refund your purchase, and notify you of such cancellation.

All prices and availability are subject to change without notice. The advertised price does not include shipping costs and any additional fees imposed by the courier.

PRIVACY

RETURNS AND REFUNDS

To ensure order accuracy, the customer will be prompted to provide a Vehicle Identification Number (“VIN”) during the ordering process. The VIN can be located at the base of the windshield, on the driver’s side of the vehicle. Any order placed without a VIN is not eligible for a return. Certain items may not be returned or refunded, including electrical parts and components.

Ford Parts Center makes every effort to ensure all items in a customer’s order are delivered undamaged and in excellent condition. However, the customer is responsible for inspecting packages immediately upon receipt for missing, damaged, or incorrect parts.

The shipping courier is responsible for all items damaged in transit. (See SHIPPING AND DELIVERY below). If your part(s) arrives damaged, please contact us immediately so that we may assist you with initiating a claim against the courier and arrange for a replacement order.

If you were sent an incorrect part due to our error, or if a part is otherwise defective, you must contact us within 5 business days of delivery. OEMFord.parts will accept the return provided that the part is new and unused, in the same condition in which it was received, and in the original box/package. You may elect to exchange the item, or to receive a refund. Refunds and exchanges will only be permitted if the part is returned to our warehouse within 15 business days after the date of delivery.

If you were sent an incorrect part due to your error, you will be subject to a 20% restocking fee and the cost of return shipping. The part must still be in new and unused condition, in the same condition in which it was received, and in the original box/package. We reserve the right to reject any returned item that arrives in a condition which does not meet our policy. The part must be returned to us within 15 days after the date of delivery in order to be eligible for a refund.

If your order is missing a part, you must contact us within 5 business days of delivery. If any items are verified to be missing, the missing items will be shipped at no extra charge.

Once we receive your return and inspect it (usually within 48 hours of receipt), your refund will be processed and a credit will be applied to your credit card or original payment methods. Please note that depending on your credit card company, it may take an additional 2-10 business days after your credit is applied for it to be posted to your account. All refunds are processed and returned through the original method of payment/credit card used by you to purchase the items on our website.

RISK OF LOSS

All purchases from Ford Parts Center are made pursuant to a shipment contract. This means that Ford Parts Center is not responsible for any damages, delay, or loss incurred after the order has been delivered to the courier for shipping, and that the risk of loss and title for such items passes to you upon our delivery to the courier. Notwithstanding the foregoing, Ford Parts Center will assist you with filing a claim against the courier if any parts are damaged in transit. If the package is damaged in transit, you must contact the courier and Ford Parts Center immediately. Please keep all packaging materials; all original shipping cartons and packaging materials must be saved for possible inspection by the courier.

If a package or any component is lost or stolen in-transit and has not been delivered, then you must notify us and the courier within 5 business days of the scheduled date of delivery. We will assist you with initiating a claim with the courier and arranging for a replacement order.

SALES TAX

Due to a recent Supreme Court ruling, states now have the ability to mandate whether they charge sales tax for online purchases. We collect and remit sales tax to remain compliant with all applicable tax laws as mandated by the state governments where we conduct business.

If your order is shipped to one of the states which mandates collection of online sales tax, we will collect any and all applicable sales taxes.

SHIPPING AND DELIVERY

Most orders are processed and shipped within 1-10 business days, depending on item availability. All orders from Ford Parts Center will be delivered to your billing address. Notwithstanding the foregoing, Ford Parts Center may, in its sole discretion, agree to deliver your order to a separate shipping address upon request.

Orders will be delivered to the exact address that you input. Please make sure that your shipping address is deliverable and accurate. Failure to input any part of your address will cause delays in shipping and delivery. We will not refund or exchange products that were shipped to an inaccurate address as a result of your error.

We ship orders to customers within the United States. We use a variety of shipping couriers, including USPS and UPS. We will notify you as soon as your tracking number is assigned to us by the courier. Shipping rates vary based on destination, time frame, package size, weight, value, and courier. There may be an additional shipping charge required by the courier for oversized or heavy parts (i.e. bumpers, fenders, hoods, door panels, etc.).

Some orders may require a signature to complete delivery. Ford Parts Center is not liable for any loss or delay due to an inaccurate or undeliverable shipping address as a result of the customer’s error inputting such information. Any charges assessed by the courier due to making multiple delivery attempts or returning an undelivered and/or refused package will be passed on to you, as well as a 20% restocking charge, if applicable.

At Ford Parts Center, your privacy is our priority and we are committed to ensuring your privacy. We will never share your information or email addresses with vendors, business partners or other organizations.
